1. Introduction

These Terms and Conditions ("Terms") govern your relationship with INNOVAQUEST SOLUTIONS S.R.L. ("we," "our," or "us") when you purchase or use our automation services, including but not limited to custom automations, AI agents, and solutions built with n8n and other low-code platforms. By engaging our services, you agree to these Terms in full. If you disagree with any part of these Terms, please do not use our services.

2. Services

We provide custom automation solutions that may include:

1. • Workflow automation AI agent development
2. • Integration of various software platforms
3. • Process automation using n8n and other low-code solutions
4. • Data processing workflows
5. • Custom API integrations

The specific details of services provided will be outlined in your order or project agreement.

3. Payment Terms

• 3.1. Payment Structure: Unless otherwise specified, we require a 50% advance payment before starting work, with the remaining 50% due upon project completion.
• 3.2. Invoicing: Invoices are due within 7 days of receipt.
• 3.3. Late Payments: Payments not received within 7 days may incur interest charges.
• 3.4. No Refunds: All payments are non-refundable once work has commenced.

We do not offer refunds for completed work or if you change your requirements after work has begun.

4. Project Timeline and Delivery

• 4.1. Timeline: Project timelines will be provided in the service agreement.
• 4.2. Client Delays: Delays caused by your failure to provide required information, feedback, or materials will extend the project timeline accordingly.
• 4.3. Revisions: The project includes a reasonable number of revisions as specified in your order. Additional revisions may incur extra charges.

5. Intellectual Property

• 5.1. Ownership: We retain ownership of all intellectual property rights in our automations, code, workflows, and solutions.
• 5.2. License: Upon full payment, you receive a non-exclusive license to use the delivered solutions for your business purposes. This does not include the right to resell or distribute our solutions to third parties.
• 5.3. Source Code: Unless explicitly included in your agreement, we do not provide source code or raw data for our automations.
• 5.4. Third-Party Solutions: If our work incorporates third-party software, you agree to comply with their respective license terms.

6. Client Responsibilities

You agree to:

1. • Provide accurate and timely information Review and provide feedback on deliverables promptly
2. • Ensure you have proper rights to any content or systems we're asked to work with
3. • Maintain the confidentiality of any credentials or access details we provide

7. Liability

• 7.1. Limitation of Liability: Limitation of Liability: Our liability is limited to the amount you paid for the specific services giving rise to the claim.
• 7.2. No Indirect Damages: We're not liable for any indirect, consequential, or incidental damages.
• 7.3. Third-Party Services: We're not responsible for failures, limitations, or changes in third-party services that our automations may depend on.

8. Confidentiality

We agree to keep your business information, data, and processes confidential. Similarly, you agree to keep our methods, processes, and technical solutions confidential.

9. Termination

• 9.1. By Either Party: Either party may terminate the agreement with 30 days' written notice.
• 9.2. Payment Upon Termination: If you terminate our engagement, you agree to pay for all work completed up to the termination date.
• 9.3. Deliverables Upon Termination: Upon termination and full payment, we will provide you with the agreed deliverables for work completed.

10. Changes and Modifications

• 10.1. Scope Changes: Any changes to project scope must be agreed upon in writing and may affect timeline and cost.
• 10.2. Terms Changes: We may update these Terms occasionally. Continued use of our services after changes constitutes acceptance of the new Terms.

11. Force Majeure

Neither party shall be liable for delays due to circumstances beyond reasonable control, including but not limited to natural disasters, power outages, or service interruptions of third-party providers.

12. Governing Law These Terms

are governed by the laws of Romania. Any disputes shall be resolved in the courts of Oradea, Romania.
